TERMS AND CONDITIONS

1. Validity of the conditions

1.1 These general terms and conditions apply exclusively to all deliveries and services by GISATEX GmbH & Co. KG (hereinafter: GTC). Conflicting contractual conditions of the customer are not recognized unless we expressly agree to their validity in writing.
1.2 Consumer (§ 13 BGB) within the meaning of these terms and conditions is any natural person who concludes a legal transaction for a purpose that cannot be attributed to their commercial or independent professional activity.
1.3 Entrepreneur (Section 14 Paragraph 1 BGB) is a natural or legal person or a legal partnership who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

2. Offer and conclusion of contract

2.1 The presentation of the products in our online shop or in other catalogs does not constitute a legally binding offer. This is only a non-binding (online) catalog.
2.2 An order placed via our website or by e-mail, post or fax represents the customer’s binding offer to conclude a contract. The contract is concluded when we send an order confirmation or by sending the ordered goods within 5 working days. If the aforementioned deadline has expired without success, the offer is deemed to have been rejected.
2.3 The order via our online shop takes place in the following steps:
(1) Selection of the desired goods
(2) Confirm by clicking the button “ADD TO THE BASKET”
(3) Checking the information in the shopping cart
(4) Press the button “GO TO CHECKOUT”
(5) Log in to the online shop or register and enter the login details (email address and password).
(6) Payment information: Enter the payment method.
(7) Order overview: Re-examination or correction of the respective entered data.
(8) Binding dispatch of the order.

Before the binding submission of the order, the customer can return to the website on which the customer’s information is recorded and correct or correct input errors by pressing the “Back” button in the Internet browser used by him after checking his details Cancel the order process by closing the internet browser. We immediately confirm receipt of the order by an automatically generated email (confirmation of receipt). This does not yet represent an acceptance of the offer.

3. Delivery

3.1 Delivery to the customer usually takes place within 3 to 5 working days after the order confirmation has been sent. In the event of delivery delays, we will inform the customer immediately.
3.2 Binding delivery times are only agreed if we have expressly confirmed them as such. If the non-compliance with an agreed delivery deadline is due to force majeure such as natural disasters, industrial disputes, fire, machine breakdown, unforeseen obstacles or comparable circumstances for which we are not responsible, the delivery deadline is extended appropriately in accordance with the duration of the obstacle.

4. Prices and terms of payment

4.1 The prices quoted by us in the online shop or other catalogs apply ex warehouse as individual prices in euros and include the applicable sales tax and packaging.
4.2 Shipping costs, any cash on delivery charges that may be incurred, as well as customs duties and other fees for international shipments, are not included in the price and will be invoiced separately.
4.3 For orders via our online shop, we only accept the payment methods indicated to the customer during the ordering process.
4.4 If we have a valid e-mail address for the customer, the invoice will be sent by e-mail.

5. Statutory liability for defects

5.1 The statutory warranty rights apply to all goods.

6. Retention of title

6.1 All delivered goods remain our property until the purchase price has been paid in full.
6.2 Entrepreneurs as customers, when reselling the goods subject to retention of title, already now assign to us all claims from such a resale, regardless of whether this occurs before or after any processing of the goods delivered under retention of title. Without prejudice to our authorization to collect the claim ourselves, the customer remains authorized to collect the claim even after the assignment. In this context, we undertake not to collect the claim as long as and to the extent that the customer meets his payment obligations, no application for the opening of insolvency or similar proceedings has been made and there is no suspension of payments.
